Minaka Terms of Service

These Terms of Service ("Terms") govern your access to and use of Minaka's venue management software and related services (the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.


1. Definitions

  • "Minaka," "we," "us," or "our" refers to the Minaka platform and its operators.
  • "You," "your," or "Customer" refers to the individual or entity using the Service.
  • "Subscription" refers to your access rights to the Service under a selected pricing tier.
  • "Venue" refers to the business entity (event venue, hotel, restaurant, or similar establishment) that you manage using the Service.
  • "Client Data" refers to any data, content, or information that you upload, submit, or create using the Service.

2. Account Registration

2.1 Account Creation

To use the Service, you must create an account by providing accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2.2 Account Eligibility

You must be at least 18 years old to create an account. By creating an account, you represent and warrant that you have the authority to bind yourself or the entity you represent to these Terms.

2.3 Account Security

You agree to:

  • Keep your password secure and confidential
  • Notify us immediately of any unauthorized access or use of your account
  • Accept responsibility for all activities that occur under your account

3. Subscription Plans & Pricing

3.1 Pricing Tiers

Minaka offers three subscription tiers:

Core (Free):

  • Monthly Fee: $0
  • Transaction Fee: 1.5% on all payments processed through the platform
  • Access to core CRM, events, payments, calendar, and client portal features

Premium:

  • Monthly Fee: $599
  • Transaction Fee: 0.5% on all payments processed through the platform
  • All Core features plus: custom branding, advanced analytics, automation builder, AI features, and white-label exports

Portfolio:

  • Monthly Fee: $999 base price (pricing may vary based on number of venues)
  • Transaction Fee: 0.5% on all payments processed through the platform
  • All Premium features plus: multi-venue management, portfolio dashboard, cross-venue reports, and centralized controls

3.2 Billing and Payment

  • Core Tier: You are responsible for paying transaction fees on payments processed. Transaction fees are deducted automatically from each payment processed.
  • Premium and Portfolio Tiers: Monthly subscription fees are billed in advance on a recurring basis. The first payment is due upon subscription. Subsequent payments are automatically charged on the same day of each month.
  • All fees are non-refundable except as expressly stated in Section 6 (Refund Policy).

3.3 Transaction Fees

Transaction fees apply to all payments processed through the Service, including but not limited to:

  • Event deposits and final payments
  • Invoice payments
  • Payment plan installments
  • Client portal payments

Transaction fees are calculated as a percentage of the gross payment amount and are deducted before funds are transferred to your connected payment account.

3.4 Price Changes

We reserve the right to modify our pricing with 30 days' advance notice. Price changes will not affect your current billing cycle but will apply to subsequent billing cycles. If you do not agree to a price change, you may cancel your subscription before the new price takes effect.

3.5 Taxes

All fees are exclusive of applicable federal, state, local, and foreign taxes, levies, or duties. You are responsible for paying all such taxes except for taxes based on our net income.


4. Subscription Management

4.1 Upgrades

You may upgrade your subscription tier at any time. Upgrades take effect immediately. You will be charged a prorated amount for the remainder of the current billing cycle at the new tier's rate, and your transaction fee rate will change immediately.

4.2 Downgrades

You may request a downgrade to a lower tier at any time. Downgrades take effect at the end of your current billing cycle. Your access to premium features will continue until the end of the paid period.

4.3 Free Trial (If Applicable)

If we offer a free trial period, you will have access to Premium or Portfolio features for the specified trial duration without charge. At the end of the trial, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends. Your payment method will be charged automatically when the trial period expires.

4.4 Automatic Renewal

Unless you cancel your subscription before the renewal date, your subscription will automatically renew for successive periods of the same duration as your original term. You authorize us to charge your payment method for each renewal period.

4.5 Cancellation

You may cancel your subscription at any time through your account settings or by contacting support. Cancellation takes effect at the end of your current billing cycle. You will retain access to paid features until the end of the paid period.


5. Payment Failures & Grace Periods

5.1 Failed Payments

If a payment fails due to insufficient funds, expired payment method, or other reasons:

  • We will notify you immediately via email
  • We will attempt to retry the payment up to 3 times over a 7-day period
  • You will enter a grace period during which you retain access to your paid tier

5.2 Grace Period

During the 7-day grace period following a failed payment:

  • You retain full access to your current subscription tier
  • You must update your payment method to avoid service interruption
  • We will send email reminders at 2 days and 1 day before the grace period expires

5.3 Auto-Downgrade

If payment is not successfully processed within the 7-day grace period:

  • Your account will automatically downgrade to the Core (Free) tier
  • Transaction fees will revert to 1.5%
  • Access to premium features will be restricted
  • Your data is preserved (see Section 5.4)

5.4 Data Preservation After Downgrade

When your account downgrades (whether voluntary or due to payment failure):

  • All Client Data, including contacts, events, proposals, and contracts, is preserved
  • Premium-configured features (custom branding, templates, automations) become read-only
  • You cannot modify premium features but can view historical data
  • Client-facing materials (proposals, contracts, exports) will display a "Powered by Minaka" watermark
  • If you re-upgrade within 90 days, all premium features are immediately restored

5.5 Data Deletion After Extended Downgrade

If your account remains on the Core tier for more than 365 days without upgrading:

  • We may archive data associated with premium features
  • Archived data can be restored if you upgrade again
  • We will notify you 30 days before any data archival

6. Refund Policy

6.1 Monthly Subscription Refunds

  • Monthly subscription fees are non-refundable
  • If you cancel mid-cycle, you retain access until the end of the current billing period, but no prorated refund is provided
  • Exception: If you cancel within 7 days of your first subscription payment, you are eligible for a full refund

6.2 Transaction Fee Refunds

  • Transaction fees are non-refundable once processed
  • If a client payment is refunded to your client, the transaction fee is not refunded to you

6.3 Service Outages

  • If the Service experiences an outage exceeding 24 consecutive hours due to our fault, you may request a prorated credit for the downtime
  • Credits are issued to your account and cannot be redeemed for cash

7. Use of the Service

7.1 License Grant

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

7.2 Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any local, state, national, or international law
  • Upload or transmit viruses, malware, or any other malicious code
  • Interfere with or disrupt the integrity or performance of the Service
  • Attempt to gain unauthorized access to the Service or its related systems
  • Use the Service to send spam, unsolicited communications, or violate anti-spam laws
  • Impersonate any person or entity or misrepresent your affiliation with any person or entity
  • Scrape, mine, or harvest data from the Service using automated means
  • Reverse engineer, decompile, or disassemble any part of the Service

7.3 Prohibited Content

You agree not to upload, post, or transmit through the Service any content that:

  • Infringes on any intellectual property or proprietary rights
  • Is defamatory, obscene, pornographic, or offensive
  • Promotes violence, discrimination, or illegal activities
  • Violates any person's privacy or publicity rights

8. Client Data & Intellectual Property

8.1 Your Data

You retain all rights, title, and interest in and to your Client Data. You grant us a limited license to host, store, process, and display your Client Data solely to provide the Service to you.

8.2 Data Security

We implement industry-standard security measures to protect your Client Data. However, no system is completely secure. You acknowledge that you provide Client Data at your own risk.

8.3 Data Backup

You are responsible for maintaining backups of your Client Data. We are not liable for any loss or corruption of Client Data.

8.4 Our Intellectual Property

The Service, including its design, features, software, trademarks, and content (excluding Client Data), is owned by Minaka and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.


9. Privacy & Data Protection

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information and Client Data.

By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

9.1 GDPR Compliance

If you are located in the European Union, you have certain rights under the General Data Protection Regulation (GDPR), including:

  • The right to access your personal data
  • The right to rectify inaccurate data
  • The right to erasure ("right to be forgotten")
  • The right to data portability
  • The right to object to processing

9.2 Data Processing Agreement

If you process personal data of EU residents using the Service, we act as a data processor on your behalf. A Data Processing Agreement (DPA) is available upon request.


10. Third-Party Integrations

10.1 Stripe Payments

Payment processing is provided by Stripe, Inc. ("Stripe"). By using payment features, you agree to be bound by Stripe's Terms of Service (https://stripe.com/legal) and Privacy Policy.

10.2 Other Third-Party Services

The Service may integrate with third-party services (e.g., email providers, SMS services, calendar tools). Your use of such services is governed by their respective terms and policies. We are not responsible for the availability, accuracy, or functionality of third-party services.


11. Warranties & Disclaimers

11.1 Service Availability

We strive to provide reliable service but do not guarantee uninterrupted or error-free access. The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind.

11.2 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Warranties that the Service will meet your requirements or be error-free
  • Warranties regarding the accuracy, reliability, or completeness of content

12. Limitation of Liability

12.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINAKA SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Costs of procurement of substitute services

12.2 Liability Cap

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

12.3 Exceptions

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.


13. Indemnification

You agree to indemnify, defend, and hold harmless Minaka and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any rights of a third party
  • Your Client Data

14. Termination

14.1 Termination by You

You may terminate your account at any time by canceling your subscription through your account settings or by contacting support.

14.2 Termination by Us

We may suspend or terminate your access to the Service at any time, with or without cause or notice, including if:

  • You breach these Terms
  • You fail to pay fees owed
  • Your use of the Service poses a security risk or violates applicable law
  • We discontinue the Service (see Section 14.4)

14.3 Effect of Termination

Upon termination:

  • Your license to use the Service immediately ends
  • You will no longer have access to your account or Client Data
  • We may delete your Client Data after 30 days unless otherwise required by law
  • You remain responsible for any fees owed prior to termination

14.4 Service Discontinuation

We reserve the right to discontinue the Service or any part thereof with 90 days' advance notice. If we discontinue a paid service, you will receive a prorated refund for any prepaid fees.


15. Dispute Resolution

15.1 Governing Law

These Terms are governed by the laws of [Your Jurisdiction], without regard to its conflict of law principles.

15.2 Arbitration Agreement

Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

You and Minaka agree to waive the right to a jury trial and the right to participate in a class action lawsuit.

15.3 Exceptions to Arbitration

Either party may seek injunctive or equitable relief in court to protect intellectual property rights or confidential information.

15.4 Informal Resolution

Before initiating arbitration, you agree to first contact us at [support@minaka.app] to attempt to resolve the dispute informally.


16. General Provisions

16.1 Changes to Terms

We may modify these Terms at any time by posting the revised Terms on our website. Changes take effect immediately upon posting unless otherwise stated. Continued use of the Service after changes constitutes acceptance of the revised Terms.

For material changes, we will provide at least 30 days' advance notice via email.

16.2 Entire Agreement

These Terms, together with the Privacy Policy and any other referenced policies, constitute the entire agreement between you and Minaka regarding the Service.

16.3 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full force and effect.

16.4 Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

16.5 Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

16.6 Force Majeure

We are not liable for any delay or failure to perform resulting from causes beyond our reasonable control, including but not limited to natural disasters, war, terrorism, riots, labor disputes, or internet service provider failures.

By using Minaka, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service.
